Board Structure & Governance Framework
McKinney Ice Hockey Club (“MIHC”) is a Texas non‑profit corporation and IRS‑recognized 501(c)(3) organization. The Club is governed by a volunteer Board of Directors that is responsible for the long‑term direction, financial stewardship, and overall integrity of the program.
The Board’s role is to:
- Set the mission, vision, and core policies of the Club
- Approve the annual budget and oversee financial health
- Hire, supervise, and evaluate key staff/volunteer leaders (e.g., Hockey Director, Club Administrator)
- Ensure compliance with USA Hockey, the AT&T High School Hockey League, SafeSport, and applicable laws and regulations
- Provide oversight of risk management, safety, and disciplinary processes
Board members are unpaid volunteers and are expected to act in the best interests of the Club and all of its players and families, not in the interests of any single team or individual.
Board Composition
• The Board consists of 9 voting directors.
• Officers include a President, Vice President, Treasurer, and Secretary, along with additional at‑large directors as needed.
• From time to time, the Board may create non‑voting advisory roles or committees to address specific areas such as finance, fundraising, communications, or discipline.
How Board Members Are Elected
Eligibility
Board members must:
- Be in good standing with MIHC and USA Hockey
- Be current or recent MIHC parents/guardians, alumni, or community members with relevant experience, including prior members of MIHC.
- Satisfy background and conflict‑of‑interest requirements established by the Club
Nomination Process
- Call for Candidates Each year, prior to the annual meeting, MIHC publishes a call for candidates via email and the Club website, listing open Board positions and desired skills/experience or via nominations from the floor.
- Submission of Interest Interested individuals submit a brief statement of interest and relevant background to the Nominating Committee or current Board by a specified deadline.
- Slate Formation The Nominating Committee (or designated Board group) reviews interested candidates, may conduct brief interviews, and prepares a recommended slate of nominees for the membership.
Election and Terms
- Board elections are held at the Annual Membership Meeting, which is typically conducted in April each year.
- Each family with a registered player in good standing receives one vote per open Board position (details can be tailored to your bylaws).
- Directors are elected by a majority of votes cast and typically serve one year terms to provide.
- If a Board vacancy occurs mid‑term, the Board may appoint a replacement director to serve the remainder of that term, subject to confirmation at the next annual meeting if required by the bylaws.
Officer Selection
Following each annual election, the newly seated Board meets to:
- Elect officers (President, Vice President, Treasurer, Secretary) from among the directors
- Confirm committee chairs and liaisons (e.g., Discipline Committee, Finance Committee, SafeSport/Compliance)
- Officer roles and responsibilities are defined in the Club’s bylaws and Board policies.
Decision‑Making and Meetings
- The Board meets regularly during the year, with additional meetings as needed.
- A simple majority of the voting directors constitutes a quorum for conducting business.
- Decisions are typically made by majority vote of directors present at a duly called meeting.
- Meeting agendas include financial updates, program planning, risk/safety reports, and any disciplinary or policy issues requiring Board action.
The Board may hold executive session for sensitive matters such as personnel, discipline, or legal issues, consistent with the Club’s policies and legal obligations.
Conflict of Interest and Ethics
Board members are required to:
- Disclose any potential conflicts of interest (for example, business or family relationships that might benefit from a Board decision)
- Recuse themselves from discussion and voting on matters where a conflict exists
- Maintain the confidentiality of sensitive information
- Act in good faith and in the best interests of the Club as a whole
The Board follows a written Conflict of Interest Policy and Code of Ethics, and may require annual disclosure statements from directors.
Committees and Delegated Authority
To manage the day‑to‑day workload while ensuring proper oversight, the Board may delegate responsibilities to committees or appointed roles, such as:
- Finance Committee - budget preparation, financial review, and audit coordination
- Discipline & Conduct Committee - reviews serious conduct violations and recommends sanctions
- • SafeSport & Risk Management - oversees compliance with SafeSport and player safety policies
- • Fundraising & Sponsorship - oversees fundraising activities and sponsor relations
Committees make recommendations to the Board; final authority for policy, major financial decisions, and disciplinary appeals remains with the Board.
Relationship to Coaches and Team Staff
- The Board sets policy and direction; it does not manage individual game decisions, line‑ups, or on‑ice tactics.
- The Hockey Director and coaching staff report into the governance structure established by the Board and are expected to follow Club policies and USA Hockey/league rules.
- Parents and players are encouraged to follow the Club’s communication and grievance policies to raise concerns appropriately.

From organizing events and managing equipment to coordinating schedules and assisting with coaching, our volunteers ensure that every aspect of the club runs smoothly. Their commitment not only supports the administrative functions but also fosters a strong sense of community and teamwork among players and families. We rely heavily on these selfless individuals to create a positive and efficient environment, making it possible for our athletes to focus on their development and love for the game.
